DECYD Terms of Service

1. Introduction & Acceptance

Welcome to DECYD (“Service,” “Platform,” “we,” “us,” or “our”), operated by DECYD, Inc., a Delaware corporation. By creating an account, accessing, or using DECYD, you (“User,” “you,” or “your”) agree to be bound by these Terms of Service (“Terms”). If you do not agree to these Terms, you may not use DECYD.

Changes to Terms: We may update these Terms periodically to reflect changes in our Service, legal requirements, or business practices. We will notify you of material changes via email at least 30 days before the effective date. Your continued use of DECYD after changes take effect constitutes acceptance of the revised Terms.

2. Service Description

DECYD is an AI-powered decision-making platform that helps users evaluate choices by aggregating insights from multiple large language models. Our Service includes:

Stage: Submit decision-making queries simultaneously to 5 AI models (Claude, GPT, Gemini, Grok, Kimi) and receive comparative responses to identify consensus, contradictions, and insights.

Memory System: Save decision-making context, past choices, and preferences for personalized future recommendations using semantic search technology.

Voice Tours: Optional AI-narrated guided decision-making walkthroughs using voice synthesis and optional voice input for hands-free interaction.

Support Knowledge Base: Access curated articles and guides on effective decision-making practices powered by retrieval-augmented generation (RAG).

3. Account Registration & Eligibility

Age Requirement: You must be at least 13 years old to use DECYD. If you are between 13 and 18 (or the age of majority in your jurisdiction), you may only use the Service with parental or guardian consent.

Account Security: You are responsible for maintaining the confidentiality of your account credentials. You agree to:

• Provide accurate, current registration information
• Maintain one account per person (no multi-accounting)
• Notify us immediately of unauthorized access at support@decyd.io
• Accept responsibility for all activities under your account

Account Termination: We reserve the right to suspend or terminate accounts that violate these Terms, our Acceptable Use Policy, or applicable law.

4. Subscription Terms & Billing

Subscription Tiers: DECYD offers tiered monthly subscriptions via Stripe: Free (grace queries), Starter ($39/mo), Pro ($79/mo), Architect ($149/mo), and Pro Sovereignty ($99/mo).

Billing Cycles: Subscriptions renew automatically on the monthly anniversary of your signup date. You authorize us to charge your payment method on file for renewal until you cancel.

Quota Management: Unused queries do NOT roll over to the next billing period. If you exceed your quota, you must upgrade your tier or wait for the next billing cycle.

Cancellation: You may cancel your subscription at any time via your Account Settings or the Stripe Customer Portal. Cancellation takes effect at the end of your current billing period. No refunds are provided for mid-cycle cancellations except as described in our Refund Policy.

Price Changes:We reserve the right to modify subscription pricing with 30 days’ advance notice via email. Price changes do not affect your current billing cycle; new prices apply at your next renewal.

5. Voice Tours Consent & California Compliance

Voice Output:DECYD’s Voice Tours can run in either narrated mode or interactive live mode. Narrated playback uses AI-generated voice synthesis (via xAI and OpenAI text-to-speech fallback) to read product guidance aloud. Generated voice output is created in real time and is not stored on DECYD servers as a durable recording.

Voice Input (Optional):If you enable the Interactive Voice Tour, you consent to your microphone audio being transmitted through LiveKit transport services and to xAI’s realtime voice systems so the guide can respond in real time. Voice input is processed transiently in memory buffers for the duration of the session and is NOT stored on DECYD servers as a reusable audio archive.

California Two-Party Consent (Cal. Penal Code § 632): For California residents, your use of voice input features constitutes your explicit consent to voice transmission and processing as required by California Penal Code § 632.

Disable Path:You can withdraw from live voice processing at any time in Settings → Voice Tour by disabling live voice processing. Narrated and transcript-based fallback flows may remain available separately.

Sensitive Information Warning: Voice Tours may inadvertently capture sensitive personal information including health discussions, political opinions, or religious beliefs if you speak about these topics. Refer to our Privacy Policy for how we handle such data under GDPR Article 9.

6. Memory System & Embedding License

Memory Feature:DECYD’s Memory system allows you to save decision-making context, preferences, and historical choices for personalized future recommendations.

Vector Embedding Processing: When you create memories, DECYD converts your text into mathematical vector representations (embeddings) using OpenAI’s embedding API (text-embedding-3-small) and stores them in our pgvector-enabled database for semantic search functionality.

License Grant: By using the Memory feature, you grant DECYD a non-exclusive, perpetual, royalty-free, worldwide license to: (a) Process your memory content into vector embeddings for semantic ranking and retrieval, (b) Retain these mathematical representations even after you delete the original text content to maintain service quality, (c) Use aggregated, non-identifiable embedding patterns to improve search relevance across the platform.

Clarification on Embeddings:These embeddings are non-reversible mathematical vectors (arrays of 1,536 floating-point numbers) that cannot reconstruct your original text. They are NOT “biometric data” under the CCPA.

7. Stage Content & Intellectual Property

Your Content Ownership:You retain all ownership rights to the prompts, queries, and decision-making context you submit to DECYD (“Your Content”). You grant DECYD a limited license to process Your Content through third-party AI providers solely to provide the Service.

AI-Generated Outputs:Responses generated by AI models in Stage (“Outputs”) are subject to the intellectual property policies of the respective AI providers: Anthropic Claude, OpenAI GPT, Google Gemini, xAI Grok, and Moonshot AI (Kimi).

No Copyright Guarantee: AI-generated content may not be copyrightable under U.S. or international law. DECYD makes no representations about the originality, accuracy, or legal status of Outputs. You are responsible for verifying that your use of Outputs complies with applicable copyright and intellectual property laws.

8. Prohibited Conduct & Acceptable Use Policy

You agree to use DECYD in compliance with our Acceptable Use Policy. Prohibited uses include, but are not limited to:

• Creating, storing, or distributing child sexual abuse material (CSAM) or content sexualizing minors
• Using the Service to plan, coordinate, or facilitate illegal activities
• Attempting prompt injection, jailbreak, or other AI system manipulation attacks
• Creating multiple accounts to circumvent quota limits or avoid enforcement actions
• Scraping, copying, or reselling DECYD data or responses without authorization
• Uploading malware, viruses, or other malicious code
• Violating the intellectual property rights of DECYD or third parties
• Harassing, threatening, or discriminating against individuals or groups

CSAM Enforcement:CSAM violations result in immediate permanent ban and mandatory reporting to the National Center for Missing & Exploited Children (NCMEC) per 18 U.S.C. § 2258A.

9. Multi-Jurisdiction Dispute Resolution

Governing Law: These Terms are governed by the laws of the State of Delaware, USA, without regard to conflict of law principles.

For Non-EU/UK/Swiss Users (Mandatory Arbitration): Any disputes shall be resolved through binding individual arbitration administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules. The arbitration shall take place in Las Vegas, Nevada, USA.

YOU WAIVE YOUR RIGHT TO A JURY TRIAL AND YOUR RIGHT TO PARTICIPATE IN CLASS ACTION LAWSUITS OR CLASS-WIDE ARBITRATION.

For EU/UK/Swiss Users (Consumer Protection Carve-Out): In accordance with Regulation (EU) No 1215/2012 (Brussels I Recast), if you are a consumer residing in the EU, UK, or Switzerland, you retain the right to bring legal proceedings in the courts of your country of residence. The mandatory arbitration clause above does NOT apply to EU/UK/Swiss consumers.

Informal Resolution First: Before initiating any formal legal action, both parties agree to attempt informal resolution by contacting support@decyd.io and allowing 30 calendar days for good-faith negotiation.

10. AI System Disclaimers & Accuracy

No Guarantee of Accuracy:AI-generated responses in Stage are provided “as is” without warranties of accuracy, completeness, or reliability. AI models may produce factually incorrect information, biased content, contradictory advice, or outdated information.

Not Professional Advice: DECYD is a decision-making tool, NOT a substitute for professional legal, medical, financial, or other expert advice. Do not rely solely on AI responses for decisions with significant legal, health, or financial consequences.

11. Warranties & Disclaimers

TO THE MAXIMUM EXTENT PERMITTED BY LAW, DECYD IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO: IMPLIED WARRANTIES OF MERCHANTABILITY OR FITNESS FOR A PARTICULAR PURPOSE; WARRANTIES OF NON-INFRINGEMENT OR TITLE; WARRANTIES THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE; OR WARRANTIES REGARDING THE ACCURACY OR RELIABILITY OF AI-GENERATED CONTENT.

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, DECYD, ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AFFILIATES SHALL NOT BE LIABLE FOR: (a) INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES; (b) LOSS OF PROFITS, DATA, BUSINESS OPPORTUNITIES, OR GOODWILL; (c) DAMAGES RESULTING FROM RELIANCE ON AI-GENERATED CONTENT; (d) UNAUTHORIZED ACCESS TO OR ALTERATION OF YOUR DATA; (e) THIRD-PARTY CONDUCT OR CONTENT (including AI provider services).

Liability Cap: Our total liability for any claims shall not exceed the greater of (i) $100 or (ii) the amount you paid to DECYD in the 12 months preceding the claim.

13. Indemnification

You agree to indemnify, defend, and hold harmless DECYD, its officers, directors, employees, and affiliates from any claims, liabilities, damages, losses, costs, or expenses (including reasonable attorneys’ fees) arising from: your violation of these Terms or our Acceptable Use Policy; your violation of any third-party rights; your misuse of AI-generated content; any content you submit to DECYD; or your violation of applicable laws or regulations.

14. Changes to Service & Termination

We reserve the right to modify, suspend, or discontinue any feature of DECYD at any time with reasonable notice (typically 30 days for material changes affecting paid subscribers). You may terminate your account at any time via Account Settings. Your data will be deleted within 30 days per our Privacy Policy.

15. Severability & Entire Agreement

If any provision of these Terms is found to be invalid or unenforceable, that provision shall be modified to reflect the parties’ intent or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect. These Terms, together with our Privacy Policy, Refund Policy, and Acceptable Use Policy, constitute the entire agreement between you and DECYD regarding the Service.
